Acceptance of Terms
By accessing this website or engaging our services, you agree to these Terms & Conditions. If you are entering into an agreement on behalf of a company, you represent that you have authority to bind that company.
Scope of Services
- Employment & Staffing: permanent hiring, temporary/contract staffing, RPO, payroll outsourcing (PEO/EOR), compliance & labour law support, background verification, facility & workforce management.
- Digital Marketing: SEO, performance advertising (Google/Meta), social media management, content & creative, web design & development, marketing automation & CRM, analytics & CRO.
- Specific deliverables, timelines, SLAs, and commercials are defined in signed proposals, work orders, or master service agreements (Agreements).
Client Responsibilities
- Provide complete and accurate information, approvals, and timely access to systems and stakeholders.
- Ensure lawful workplace conditions and compliance with applicable labour, tax, and advertising laws.
- Use the services and deliverables only for lawful purposes and in compliance with third-party platform policies.
Fees, Taxes & Payments
- Fees, payment schedules, and billing units are specified in the Agreement (e.g., success-fee, retainer, per-head per-month).
- Invoices are payable as per the due dates stated. Applicable taxes (including GST) are additional.
- Late payments may attract interest and/or service suspension as per the Agreement.
- Media budgets for ads are paid to the platforms directly by the Client unless otherwise agreed.
Confidentiality & Data Protection
- Both parties will keep confidential information secure and use it solely for fulfilling the Agreement.
- Personal data will be processed with purpose limitation, least-privilege access and appropriate safeguards.
- Where required, execution of NDAs and data-processing addendums may supplement these Terms.
Intellectual Property
- Unless otherwise agreed, deliverables created specifically for the Client become the Client’s property upon full payment.
- We may retain non-identifying know-how, methodologies, and portfolio rights to reference the engagement.
- Client warrants that materials it supplies (e.g., logos, data, lists) are lawful and licensed for use.
Compliance & Labour Law (Employment Services)
- We operate with reference to applicable Indian statutes including Shops & Establishments, CLRA, Factory Act, PF, ESI, PT, LWF, Gratuity and allied rules as applicable to the engagement.
- Client is responsible for lawful workplace conditions, safety and statutory displays at its premises.
- Inspections and audits will be supported with records and registers as applicable.
Platform Policies (Digital Marketing)
- Advertising and tracking will adhere to platform terms (e.g., Google, Meta) and applicable Indian regulations.
- Results vary by market conditions, budgets, product-market fit and other factors; no universal performance guarantee is made.
- Brand safety, consent management, and fraud controls will be implemented as agreed.
Warranties & Disclaimers
- Services are provided with reasonable skill and care. Except as expressly stated, they are provided “as is”.
- We do not warrant uninterrupted availability of third-party platforms or specific outcomes like rankings, ROAS, or hiring ratios.
Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to the services is limited to the fees paid by the Client to us in the three (3) months immediately preceding the event giving rise to the claim. Indirect, special, incidental, punitive or consequential losses are excluded.
Indemnity
Each party will indemnify the other against third-party claims resulting from its breach of law, infringement of IP, or breach of confidentiality under the Agreement.
Term, Suspension & Termination
- Term is per the Agreement. Either party may terminate for convenience with written notice as specified, or for cause upon material breach not cured within the notice period.
- We may suspend services for non-payment, suspected unlawful use, or platform policy violations.
- Upon termination, accrued fees remain payable; each party returns or destroys confidential information, subject to legal retention requirements.
Refunds & Cancellations
Professional service fees are generally non-refundable once work begins. Replacement/credit terms for employment services and credits for unused retainers (where applicable) are described in the Agreement. For full details, see our Refund & Cancellation Policy.
Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control, including acts of God, government actions, labour disputes, pandemics, or platform outages.
Changes to Terms
We may update these Terms from time to time. Updated versions will be posted on this page with an effective date.
Governing Law & Jurisdiction
These Terms are governed by the laws of India. The courts at Gurugram, Haryana shall have exclusive jurisdiction.
